Agreement to terms
These Terms of Service ("Terms") are a binding agreement between you and Zenith Intelligence Technologies ("ZI² Kids", "we"). By accessing or using zi2kids.com or app.zi2kids.com (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Eligibility & parental responsibility
Only an adult (18+) or an emancipated minor may form this contract and open or pay for an account. Children may use the Service only under the supervision and with the consent of a parent, guardian, or authorized educator, who is responsible for the child’s use, for all activity under the account, and for compliance with these Terms.
Accounts & security
You must provide accurate information, keep your credentials confidential, and are responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security/abuse risk.
Subscriptions, billing & refunds
- Paid plans are billed in advance through our processor, Stripe, at the prices shown (e.g., Premium $9.99/mo, Classroom $49.99/mo); taxes may apply.
- Subscriptions auto-renew each period until canceled. You may cancel anytime; cancellation stops future renewals and access continues through the paid period.
- Except where required by applicable law, fees are non-refundable and partial periods are not refunded. We may change prices prospectively with notice.
- Lifetime/one-time purchases grant access as described at purchase and are subject to these Terms.
- Failed or charged-back payments may result in suspension of access.
License & acceptable use
We grant you a limited, revocable, non-exclusive, non-transferable license to access the Service for personal, family, or authorized classroom educational use. You agree not to:
- copy, scrape, reverse-engineer, resell, or redistribute the Service or its content;
- share paid access outside your plan’s permitted seats;
- disrupt, attack, probe, or circumvent security or access controls;
- upload unlawful, infringing, or harmful content, or misuse the Service in violation of law.
Intellectual property
The Service and all content — software, text, graphics, mascots, characters, audio/video, books, games, and design — are owned by ZI² Kids / Zenith Intelligence Technologies or its licensors and are protected by intellectual-property laws. Except for content we expressly offer under an open license, all rights are reserved. Free "core" content offered under a Creative Commons license is governed by that license’s terms.
Feedback
If you send suggestions or feedback, you grant us a perpetual, worldwide, royalty-free license to use it without obligation to you.
Schools, classrooms & districts
Educational accounts are licensed to the purchasing organization for its enrolled students, subject to seat limits and any separate order or data-protection addendum. The organization is responsible for obtaining required parental consents and for compliance with FERPA and applicable law.
Third-party services
The Service relies on third parties (e.g., Stripe, hosting, Cloudflare). Their services are governed by their own terms, and we are not responsible for them.
Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service is for general education and is not professional, legal, medical, recruitment, or career advice. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZI² KIDS AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $50. Some jurisdictions do not allow certain limitations, so some may not apply to you.
Indemnification
You agree to indemnify and hold harmless ZI² Kids and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.
Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, risk to the Service or others, or as required by law. Sections that by their nature should survive (IP, disclaimers, liability, indemnity, dispute resolution) survive termination.
Dispute resolution & governing law
These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict-of-laws rules. The parties will first attempt to resolve disputes informally by contacting [email protected]. Any unresolved dispute will be resolved by binding individual arbitration on an individual basis; you and we waive any right to a jury trial and to participate in a class action, to the extent permitted by law. Where arbitration does not apply, the exclusive venue is the state or federal courts located in Maryland. Nothing limits rights that cannot be waived under applicable law.
Changes & miscellaneous
We may update these Terms; continued use after changes means acceptance. If any provision is unenforceable, the rest remains in effect. These Terms are the entire agreement between us regarding the Service, may be assigned by us in connection with a transfer of the business, and may not be assigned by you without our consent.
